Unlimited Usage Licensing Agreement

1. Licensed Works The Licensor grants the Licensee unlimited rights to use the beat(s) listed in Exhibit A or attached correspondence.

2. Rights Granted The Licensee is granted unlimited usage rights, including but not limited to: ⦁ Reproduction, public performance, distribution, and synchronization ⦁ Commercial and non-commercial use across all media formats ⦁ Unlimited sales, streams, and monetization opportunities ⦁ Domestic and worldwide usage rights

3. Ownership and Credit ⦁ Grit Lords retains full copyright ownership of all beats. ⦁ The Licensee must credit the Licensor as Grit Lords, using either: "Produced by Grit Lords" or "Prod. By Grit Lords" This credit should appear in all public-facing materials, including (but not limited to) distribution platforms, metadata, and promotional content. ⦁ For example, distribution metadata may read: “Your Song Title Prod. By Grit Lords” ⦁ Any changes or additions made to the beat(s) are permissible; however, Grit Lords retains full ownership, and proper credit must still be given as noted above.

4. Restrictions ⦁ This license is non-transferable and does not permit resale of the beat(s) as standalone products, including use in sample packs, production kits, or any other unauthorized redistribution. ⦁ The Licensee is not permitted to monetize the beat(s) or songs using them on YouTube. This restriction is intended to avoid copyright conflicts and Content ID issues.

5. Delivery Beat(s) will be delivered in [WAV/MP3] format via [Download Link/Email/Other Method]. Beat(s) will be available for use immediately upon delivery and download.

6. Legal This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations. This license is irrevocable and remains valid indefinitely. Any disputes arising from this Agreement shall be subject to the laws and jurisdiction of Asbury Park, New Jersey. Both parties agree to participate in good faith mediation prior to initiating any legal proceedings.

7. Publishing Rights ⦁ The Licensee acknowledges that Grit Lords retains 100% of the composer’s shares and 50% of the publishing shares of royalties collected through BMI, ASCAP, or any other performing rights organization.
